Re: Stop Anthos from Taking over CrossFit

A lawyer once told me that you should never sign a contract with someone you don't trust. Sure, if they break the contract you can sue, but win or lose it will still cost you huge amounts of time and...

Re: Stop Anthos from Taking over CrossFit

My position? I don't have one, really. I don't own an affiliate. I don't care whether the one I train at has a Crossfit sign over the door or not, and trust the owner to make the decisions that work...

Re: Stop Anthos from Taking over CrossFit

As I said up thread, Anthos' motives are pretty simple. I suspect both of the Glassmans have a much more complicated view of things.

I don't know them, so I'm not going to speculate except to say...

Re: Stop Anthos from Taking over CrossFit

It's very difficult to keep an owner who wants out from selling their share to whoever they like, absent a pre-existing buyout agreement. And it's naive to think that a 50% owner won't want a say in...

Re: Stop Anthos from Taking over CrossFit

On the other hand, the relationship between the current owners has clearly soured somewhat. A new shareholder wouldn't have *that* history, either.

Re: Stop Anthos from Taking over CrossFit

Note also that this would be true with *any* divided ownership, including the current structure. So if Mrs. Glassman retained her stake, but didn't like the way CF Inc. was being run, she would also...

Re: Stop Anthos from Taking over CrossFit

On the other hand, plenty of businesses find their unique culture to be an important asset and go out of their way to preserve it. While a new equity partner certainly *could* influence the corporate...

Re: Stop Anthos from Taking over CrossFit

I don't know enough about any of the parties to form an opinion.

I would say that Anthos probably has the clearest motivation of any of the parties: they want to make lots of money, and will pursue...

Re: Stop Anthos from Taking over CrossFit

Yes, it would be desirable for the contract to be written in that way.

But I would bet that more often than not, the contract is extremely vague if it even exists. Especially when the ownership...

Re: Stop Anthos from Taking over CrossFit

And the evidence for this claim is? They're an investment firm: why wouldn't they be willing to stand back and let a model that's working continue to work?

Re: Stop Anthos from Taking over CrossFit

Looks that way to me, too. If you want to maintain control of the company, you have to maintain ownership as well. People who have equity have a right to do what they want with it, including selling...
